iGAcquire Fee Schedule

1. Overview
This Fee Schedule forms an integral part of the iGAcquire Terms of Service. It explains how iGAcquire OÜ ("iGAcquire", "we", "our") charges and collects fees when users complete transactions introduced through the iGAcquire.com marketplace.
Fees apply only to successfully completed deals and are payable by the Seller. Buyers currently pay no platform fees.
2. Success Fee Structure
Gaming or iGaming Businesses

The applicable rate is determined by the Transaction Value (as defined in the Terms of Service).
3. When Fees Apply
- • Fees apply to the total Transaction Value, including all cash, equity, deferred payments, earn-outs, and any other consideration received by the Seller or its Related Companies.
- • Fees are due as and when payments are received, whether at closing or later as Deferred Consideration.
- • For staged or performance-based transactions, iGAcquire's fee is calculated and paid pro rata with each payment received.
4. Introductions Tail Period
If a Buyer and Seller introduced through iGAcquire complete a transaction within thirty-six (36) months of the initial introduction, NDA access, or listing access, iGAcquire's success fee applies in full.
This includes transactions completed by Related Companies or via any structure substantially similar to a sale (such as licensing, staged acquisitions, or revenue-share agreements).
5. Escrow.com Integration
iGAcquire works with Escrow.com, a regulated third-party escrow provider, to handle secure payments.
- • When a transaction settles through Escrow.com, iGAcquire's fee is automatically deducted from the escrow proceeds before the balance is released to the Seller.
- • Escrow.com's own service fees are charged separately under their published rates.
- • iGAcquire never holds client funds directly.
6. Direct Settlements
If a transaction closes outside Escrow.com, the Seller must pay iGAcquire's fee within ten (10) business days of each payment received, including each earn-out or other Deferred Consideration.
The Seller must instruct any paying agent to release fees to iGAcquire in accordance with this Schedule.
7. Reporting and Audit
While any Deferred Consideration remains payable:
- • The Seller must provide quarterly statements showing payments received.
- • iGAcquire may, with ten (10) business days' notice and no more than once per year, appoint an independent auditor to verify the Transaction Value and fees due.
- • If an underpayment of more than five (5) percent is found, the Seller must pay the shortfall and reasonable audit costs within ten (10) business days.
8. Enforcement and Late Payment
Failure to pay fees constitutes a material breach of the Terms of Service. Unpaid fees accrue statutory interest under Estonian law.
iGAcquire may initiate binding arbitration before the Arbitration Court of the Estonian Chamber of Commerce and Industry in Tallinn to recover any unpaid amounts.
In cases of verified non-payment, iGAcquire reserves the right to disclose factual information about the breach publicly, in compliance with data protection and defamation laws.
9. Updates
iGAcquire may update this Fee Schedule periodically. Updated versions will be published on this page and become effective fourteen (14) days after publication.
Transactions initiated before an update remain subject to the fee rates in effect at the time of introduction.
10. Legal Reference
This Fee Schedule is governed by Estonian law and forms part of the iGAcquire Terms of Service (October 2025).
Definitions of Gaming or iGaming Business, Asset, Transaction, and Transaction Value have the meanings assigned in the Terms of Service.
